VSE Corporation

VSE is a company that recently stopped being what most people in the defense market remember it as. Founded in 1959 in Alexandria, Virginia as an engineering services firm, it spent decades as a federal services contractor with a Federal and Defense segment and a vehicle parts business called Wheeler Fleet Solutions. Both are gone. VSE divested substantially all of its Federal and Defense operating assets in February 2024 in two transactions totaling about 44 million dollars, then agreed in February 2025 to sell Wheeler Fleet Solutions to One Equity Partners. It moved its headquarters from northern Virginia to Miramar, Florida to sit alongside its aviation operations. VSE Corporation today is a pure-play aviation aftermarket business, still listed on Nasdaq under VSEC, and any description of it as a federal services provider is out of date.

What remains is VSE Aviation, which combines parts distribution and MRO under one roof. The distribution side runs managed distribution programs for original equipment manufacturers, aftermarket spares sales, and consumables including tires, tubes, brakes and batteries. The anchor relationship is with Pratt and Whitney Canada, where VSE holds long-term engine parts distribution agreements covering North America awarded in 2021, Asia Pacific in 2022 and a 15-year extension into Europe, the Middle East and Africa. A further agreement with Pratt and Whitney Canada added life-of-program distribution for auxiliary power unit components.

The MRO side covers component and engine accessory work for business and general aviation and rotorcraft, engine hot section repair, business and general aviation airframe work, commercial and cargo component overhaul, turbine engine service and repair, tire, wheel and brake repair, and aircraft hose assembly. Facilities carry FAA and EASA Part 145 approvals and the company holds a Honeywell avionics authorized repair agreement for commercial work.

The portfolio has been assembled largely by acquisition. Kansas Aviation and 1st Choice Aerospace supplied the rotorcraft and commercial component repair capability. Turbine Controls added MRO for complex engine components and engine and airframe accessories. Turbine Weld Industries added specialist weld repair. Aero 3 and, most significantly, Precision Aviation Group broadened the distribution and repair footprint again. NorthStar Technologies now trades as VSE Aviation Services.

The defense relevance is real but narrower than it once was, and it now runs through platforms rather than through services contracts. VSE Aviation supports military rotorcraft including the MI-17, UH-1 and OH-58, engine types such as the J85 and the Rolls-Royce M250, and military fuel accessories and actuators. Government and military operators buy from the same distribution and repair network as commercial customers rather than through a dedicated defense division.

Revenue for the aviation segment passed 544 million dollars before the most recent acquisitions closed, and the company reported record results in its 2025 annual report. The strategy management has stated repeatedly is to concentrate capital in the aviation aftermarket, where margins are higher and the installed base of aging aircraft supports long-cycle parts demand, rather than compete for federal services recompetes.
